Risk Management
The Board of Wave Capital Management Ltd. holds the ultimate accountability for assessing and deciding the level of risks it is prepared to undertake to accomplish the strategic goals of WCML. Additionally, it is responsible for establishing and maintaining suitable and efficient compliance, anti-money laundering (WCML), risk management, and internal control systems for the organization. These systems are designed to handle potential compliance issues and risks that may hinder the achievement of business objectives. However, it is important to note that these systems can only offer reasonable, rather than absolute, assurances against significant errors or losses.

In order to uphold strong corporate governance, the management of the company has established a comprehensive framework of policies, standards, and procedures. These encompass various areas such as operational, compliance, WCML, financial, and risk controls. The primary goals of these measures are to safeguard assets against unauthorized use or disposition, maintain accurate accounting records, and ensure the reliability of financial information. By achieving a satisfactory level of assurance, the company aims to mitigate the risks associated with frauds and errors.
The Compliance & Risk Management Committee, appointed by the Board, is responsible for overseeing the company's Compliance, WCML, and risk management, as well as its internal control systems, on an ongoing basis. Each year, a comprehensive review is conducted to assess the effectiveness of the company's risk management and internal control systems, and it has been determined that these systems are both effective and adequate, as confirmed by the committee. If any significant risk issues arise, they are promptly brought to the attention of the Board, along with management responses and recommendations for consideration.
The company also maintains an internal account audit function, which conducts an independent analysis and appraisal of the adequacy and effectiveness of the systems. To ensure confidentiality and address potential conflicts of interest, specific procedures have been implemented. Furthermore, stringent internal structures have been established to prevent the misuse of insider information and mitigate conflicts of interest.
